Factory-Customer Cooperation Privacy Agreement (PPF/Color PPF/Window Tint Film Specific)

Party A (Provider): [Full Name of Factory] (hereinafter referred to as "Party A", the manufacturer of products such as PPF, Color PPF, and Window Tint Film)

Party B (Recipient): [Full Name of Customer] (hereinafter referred to as "Party B", the customer cooperating with Party A on PPF, Color PPF, and Window Tint Film)

I. Scope of Privacy Protection (Focusing on PPF/Color PPF/Window Tint Film Cooperation Scenarios)

  1. Party B's Business Information (Including Product Cooperation-Related Information): Including but not limited to Party B's procurement plans for PPF/Color PPF/Window Tint Film (e.g., procurement model, quantity, cycle), target customer groups (e.g., modification shops, automotive 4S stores, cross-border distributors), pricing strategies, regional sales layouts, as well as basic business information such as Party B's name, contact information, and address;
  2. Exclusive Customization Information for PPF/Color PPF/Window Tint Film:
    • Customization Parameters: Such as PPF's base material thickness (5-12mil), scratch resistance level, anti-yellowing warranty period; Color PPF's color system (matte/glossy/gradient), texture (carbon fiber/matte), color card number and color-mixing formula; Window Tint Film's heat insulation rate (50%-90%), light transmittance (15%-70%), explosion-proof level, and other OEM/ODM customization data;
    • Design Materials: Including Party B's exclusive PPF/Color PPF packaging designs (e.g., printed LOGO, packaging material requirements), Window Tint Film specification label designs, as well as color swatches and physical samples of customized products;
  3. Product Compliance and Certification-Related Information: Target market regulations required by Party B for Party A to comply with (e.g., EU RoHS, US FCC requirements for PPF/Color PPF/Window Tint Film), product test reports (e.g., PPF scratch resistance test report, Window Tint Film heat insulation test data), certification-related information (e.g., certificate number, applicable product models, including previously mentioned PPF models such as UA-Series and S-Series);
  4. Other Confidential Information for Product Cooperation: Detailed PPF/Color PPF/Window Tint Film orders marked as confidential by Party B, trial production feedback, after-sales data, and Party B's unpublicized product promotion plans and competitor response strategies learned during cooperation.

II. Party A's Confidentiality Obligations (For PPF/Color PPF/Window Tint Film Information Protection)

  1. Restrictions on Information Use: Party A shall only use Party B's privacy information for the production (e.g., adjusting production lines according to Party B's customization parameters), R&D (e.g., cooperating with Party B to optimize Color PPF color-mixing processes), order delivery (e.g., producing according to Party B's packaging design), and compliance certification (e.g., providing test data for corresponding models) of PPF/Color PPF/Window Tint Film. It shall not be used for the production of other products or external display;
  2. Information Security Control:
    • Core technical information such as PPF/Color PPF color-mixing formulas and Window Tint Film heat insulation layer processes shall only be accessible to core R&D and production personnel, who shall sign a special confidentiality agreement;
    • Electronic documents (e.g., Party B's customization parameter sheets, color card data) shall be stored in an encrypted manner; paper materials (e.g., test reports, sample confirmation forms) shall be kept by designated personnel; samples (e.g., customized Color PPF samples for Party B) shall be marked "Confidential" separately and stored in a locked location;
  3. Confidentiality Requirements for Third Parties: If Party A needs to entrust a third party (e.g., testing institution, logistics provider) to handle PPF/Color PPF/Window Tint Film-related information (e.g., submitting Party B's customized Window Tint Film for inspection), it shall notify Party B in advance and require the third party to sign a confidentiality agreement to prevent information leakage;
  4. Handling After Cooperation Termination: Within 15 working days after the termination of cooperation, Party A shall stop using Party B's PPF/Color PPF/Window Tint Film-related information, return or destroy customization parameter sheets, color cards, and unused customized packaging as required by Party B, delete color-mixing formulas and order data stored electronically, and shall not retain backups for subsequent production.

III. Party B's Rights and Obligations (Related to Product Cooperation)

  1. Rights: Party B has the right to regularly check Party A's protection of PPF/Color PPF/Window Tint Film information (e.g., checking sample storage records). If information leakage is found (e.g., Party B's customized Color PPF formula is used by a third party), Party B may require Party A to immediately stop the leakage, take corrective measures (e.g., replacing personnel in confidential positions), and compensate for losses;
  2. Obligations: Party B shall ensure that the provided PPF/Color PPF/Window Tint Film customization parameters, compliance requirements, and other information are true and legal. If disputes arise due to incorrect information (e.g., the provided Window Tint Film light transmittance requirements do not comply with the target country's regulations), Party B shall bear corresponding responsibilities; at the same time, Party B shall clearly inform Party A which information belongs to core confidential content (e.g., PPF's core anti-yellowing formula) to facilitate Party A's key protection.

IV. Exemption Scenarios

  1. PPF/Color PPF/Window Tint Film information that is already known to the public (e.g., public industry general standards, leakage of Party B's product models not caused by Party A's fault);
  2. Information reasonably used by Party A within the scope of Party B's authorization to perform cooperation (e.g., providing Window Tint Film test samples to testing institutions with Party B's authorization);
  3. PPF/Color PPF/Window Tint Film-related information disclosed in accordance with laws and regulations, or requirements of judicial organs or administrative departments (e.g., cooperating with regulatory authorities to verify product compliance, and notifying Party B 48 hours in advance);
  4. Information publicly disclosed by Party B to third parties or authorized to be used by third parties (e.g., Party B informs its cooperative logistics company of the customized PPF packaging design).

V. Liability for Breach of Contract (Focusing on the Impact of Product Information Leakage)

  1. If Party A violates this Agreement and leaks Party B's core PPF/Color PPF/Window Tint Film information (e.g., color-mixing formulas, customization parameters), it shall compensate Party B for direct economic losses incurred (e.g., order cancellation losses, re-R&D costs);
  2. If information leakage causes Party B's PPF/Color PPF/Window Tint Film products to lose competitiveness in the target market (e.g., customized formulas are used by competitors), Party A shall also bear Party B's brand reputation repair costs (e.g., marketing expenses, customer appeasement fees) and cooperate with Party B to issue a clarification statement.

VI. Term of the Agreement

This Agreement shall take effect from the date of signature and seal by both parties, and shall remain valid for 3 years after the full performance of all PPF/Color PPF/Window Tint Film cooperation orders. After the expiration, Party A's confidentiality obligation for Party B's unpublicized product customization information and core technical data shall remain valid until the information becomes public.

VII. Others

  1. For matters not covered in this Agreement, both parties may sign a supplementary agreement separately for special cooperation scenarios of PPF/Color PPF/Window Tint Film (e.g., information protection for small-batch customization);
  2. Disputes arising from this Agreement shall be resolved through negotiation between the two parties. If negotiation fails, the dispute shall be submitted to the people's court with jurisdiction at the place where Party A is located for litigation.
